This Affiliate Marketing Agreement ("Agreement") is entered into as of the acceptance date, by and between RipaLip LLC, a Minnesota limited liability company, with its principal place of business at 9072 Douglas Drive, Eden Prairie, MN 55347 ("Company"), and [Affiliate Name], located at [Affiliate Address] ("Affiliate").

No spam, fake followers, misleading claims, or brand misuse
Influencers & creators: Social media posts must follow FTC disclosure rules and remain brand-safe.
Termination: Either party may end participation at any time.

1. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which Affiliate will promote Company products and earn commissions for qualifying sales generated through Affiliate’s marketing efforts.
2. Affiliate Relationship
Affiliate is an independent contractor and not an employee, partner, agent, or joint venturer of Company. Nothing in this Agreement shall be deemed to create any partnership, joint venture, or agency relationship.
3. Enrollment and Approval
Affiliate must apply and be approved by Company to participate in the RipaLip Affiliate Program. Company reserves the right to accept or reject any application at its sole discretion.
4. Affiliate Links and Promotion
Company will provide Affiliate with unique tracking links or discount codes ("Affiliate Links"). Affiliate agrees to use only Company-approved marketing materials and Affiliate Links when promoting Company products.
Affiliate shall not:
Make false or misleading claims about Company or its products
Engage in spam, deceptive marketing, or illegal activities
Bid on Company-branded keywords without written permission
Represent itself as Company
5. Commission Structure
Company agrees to pay Affiliate a commission equal to 5% of net sales generated through Affiliate’s approved Affiliate Links.
"Net sales" means the gross sales price actually received by Company, less returns, refunds, chargebacks, discounts, taxes, shipping, and payment processing fees.
No commission shall be paid on returned or refunded orders.
6. Tracking and Reporting
Company will track qualifying sales through its affiliate tracking system. Company’s records shall be final and binding for purposes of calculating commissions.
7. Payment Terms
Commissions will be paid monthly, provided Affiliate has earned a minimum balance of $25. Payments will be made via check mailed to the address provided by Affiliate.
Affiliate is responsible for providing accurate payment and tax information. Affiliate is solely responsible for any taxes arising from commission payments.
8. Influencer and Social Media Marketing
In addition to other obligations under this Agreement, Affiliates acting as influencers, content creators, or social media promoters agree to the following:
All promotions on social media platforms (including but not limited to Instagram, Facebook, TikTok, YouTube, X, and blogs) must clearly and conspicuously disclose the affiliate relationship using disclosures such as "#ad," "#affiliate," or "Paid partnership with RipaLip," in compliance with FTC guidelines.
Affiliate shall not purchase fake followers, engagement, or traffic, or engage in deceptive practices.
Affiliate shall not make claims about product performance that are not expressly authorized by Company.
Affiliate shall not use Company trademarks, logos, or brand name in usernames, social handles, or page names without prior written consent.
Affiliate-generated content must be brand-safe and shall not include offensive, unlawful, or misleading material.
Company reserves the right to request removal or modification of any promotional content that does not comply with this Agreement.
9. Promotional Compliance
Affiliate agrees to comply with all applicable laws, regulations, and guidelines, including but not limited to:
FTC endorsement and disclosure requirements
CAN-SPAM Act
State and federal consumer protection laws
Affiliate must clearly disclose the affiliate relationship in any promotional content.
10. Intellectual Property
Company grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use Company trademarks, logos, and marketing materials solely for purposes of promoting Company products under this Agreement.
All intellectual property rights remain the sole property of Company.
11. Confidentiality
Affiliate agrees to keep confidential any non-public information regarding Company’s business, products, pricing, or operations.
12. Term and Termination
This Agreement shall commence on the Effective Date and continue until terminated.
Either party may terminate this Agreement at any time, with or without cause, upon written notice.
Company may immediately terminate this Agreement if Affiliate breaches any provision.
Upon termination, Affiliate must immediately discontinue use of Affiliate Links and Company intellectual property.
13. Limitation of Liability
To the maximum extent permitted by law, Company shall not be liable for indirect, incidental, special, or consequential damages arising out of this Agreement.
14. Indemnification
Affiliate agrees to indemnify and hold harmless Company from any claims, damages, liabilities, or expenses arising from Affiliate’s breach of this Agreement or unlawful promotional activities.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.
16. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
17. Amendments
Company reserves the right to modify this Agreement upon notice to Affiliate. Continued participation in the affiliate program constitutes acceptance of the modified terms.
18. Assignment
Affiliate may not assign this Agreement without Company’s prior written consent.
19. Click-to-Accept Terms and Conditions
By clicking "I Agree," checking a box, submitting an affiliate application, or participating in the RipaLip Affiliate Program, Affiliate acknowledges that they have read, understood, and agree to be legally bound by the terms and conditions of this Agreement.
This electronic acceptance constitutes a valid and binding agreement equivalent to a handwritten signature. This Agreement may be accepted electronically and shall be deemed legally binding.d agreement text here>
